About Rowland
Rowland is a solicitor in the firm’s Corporate and Commercial department. His corporate experience includes assisting on the sale and purchase of companies and businesses, as well as wider corporate matters, including share buybacks, shareholder exits, shareholders’ agreements, articles of association, corporate governance matters and loan agreements.
He also advises on a range of commercial agreements, including supply of goods and services agreements, standard terms and conditions and personal guarantees.
Recent experience includes assisting the team advise on:
a share acquisition of a smokery and food retail company;
a management buyout (acting for the buyer) of an advertising company;
a share sale of an ecology & environmental company;
two business and asset sales of pharmaceutical businesses;
a multimillion-pound management buyout of a window manufacturing company (advising the exiting seller);
a shareholder dispute, enabling one of the owner-managers to achieve a successful exit and establish a new surveying practice;
shareholders’ agreements, articles of association and connected share transfers and re-organisations, for a wide variety of scenarios including a family property investment company, owner-managers implementing succession strategies, and the shareholders of a holding company of a large group operating across the construction sector;
the creation of a family investment company and the transfer of a high value property into it followed by a share restructure;
the negotiation of a supply of goods subcontract in relation to one of the world's largest defence contractors as part of its nuclear submarine programme;
a range of sectors on commercial terms and conditions, including complex terms for a virtual office provider; and
a variety of personal guarantees and related security arrangements.
